Scope of work
No work begins without a written scope setting out what we will do, the price, the timeline, who is responsible for what, and the measure we will report against. Anything outside that scope is quoted separately before it is started.
Fees and payment
Projects are quoted at a fixed price against a fixed scope. Retainers are billed monthly in advance and run month to month with 30 days’ notice on either side. PLACEHOLDER — state payment terms, accepted methods, late-payment interest and applicable taxes.
Your responsibilities
- Provide the information, approvals and access we need, within the timescales in the scope.
- Ensure material you supply is accurate and that you hold the rights to use it.
- Nominate one person who can give decisions on the project.
Ownership of work and accounts
You own your website, ad accounts, analytics and data. Accounts are created in your business’s name wherever the platform allows, and we are granted access to them. On final payment, the intellectual property in the deliverables we create for you transfers to you. We retain ownership of our internal tools, templates and know-how.
No platform commission
We take no commission, rebate or referral fee from any platform, host or vendor we recommend. Third-party costs such as media spend, licences and hosting are yours and are paid to those providers directly wherever possible.
Results and reporting
We report against the measure agreed in the scope, monthly, including periods that miss the target. We do not guarantee rankings, placements or a specific volume of enquiries — no agency honestly can, because the platforms and the market are outside our control.
Confidentiality
Each side keeps the other’s non-public information confidential and uses it only for the engagement. We will not name you as a client or publish work about you without your written permission.
Termination
Either side may end a retainer with 30 days’ written notice. For projects, you may cancel at any time; you pay for work completed up to that point, and we hand over everything produced. Access to your accounts is returned to you on termination in every case.
Liability
Our total liability under an engagement is limited to the fees you have paid us under it in the preceding 12 months. Neither side is liable for indirect or consequential loss. Nothing here limits liability that cannot lawfully be limited. PLACEHOLDER — confirm limits with your insurer and legal adviser.
Governing law
PLACEHOLDER — state the governing law and the courts with jurisdiction, typically those of Tamil Nadu, India, unless agreed otherwise in a client contract.
